1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Menko Services Private Limited, a company incorporated under the laws of India, having its registered office at:

Menko Services Private Limited operates as a business-to-business (B2B) service provider.

We provide professional services including, but not limited to:

  • Skilled manpower deployment

  • Contract staffing

  • Digital and technical experts

  • Business support services

  • Consulting and project-based services

Our services are intended solely for registered businesses and commercial entities.

We do not provide services to individual consumers for personal use.

3. Eligibility

By engaging our services, you represent that:

  • You are a registered business entity.

  • You are authorized to act on behalf of your organization.

  • You are entering into this agreement for commercial purposes.

4. Service Engagement

All services provided by Menko Services Private Limited are subject to:

  • A written quotation, proposal, or agreement

  • Defined scope of work (SOW)

  • Mutually agreed commercial terms

No service shall be considered confirmed unless:

  • A written confirmation is provided, and

  • Payment terms are accepted by both parties.

5. Pricing & Payment Terms

  • All prices are exclusive of applicable taxes (including GST).

  • Payment terms will be specified in the invoice or service agreement.

  • Unless otherwise agreed, payment must be made within the stated credit period.

  • Delayed payments may attract interest at 18% per annum or the maximum rate permitted under law.

Menko Services Private Limited reserves the right to suspend services in case of delayed payments.

6. Client Responsibilities

The client agrees to:

  • Provide accurate information necessary for service execution.

  • Cooperate in a timely manner.

  • Ensure a safe and lawful working environment (for manpower services).

  • Not engage deployed personnel directly without written consent (if applicable).

7. Intellectual Property

Unless otherwise agreed in writing:

  • All pre-existing intellectual property remains the property of Menko Services Private Limited.

  • Deliverables created specifically for the client may be transferred upon full payment.

  • Clients may not reuse, resell, or distribute proprietary methodologies or confidential materials without written permission.

8. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business information

  • Trade secrets

  • Client data

  • Commercial terms

Confidential information shall not be disclosed to third parties without prior written consent unless required by law.

9. Limitation of Liability

To the fullest extent permitted by Indian law:

Menko Services Private Limited shall not be liable for:

  • Indirect or consequential losses

  • Loss of profits

  • Business interruption

  • Data loss

Our total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

10. Indemnification

The client agrees to indemnify and hold harmless Menko Services Private Limited against any claims, damages, or liabilities arising from:

  • Misuse of services

  • Violation of laws

  • Breach of these Terms

  • Client-provided data or instructions

11. Termination

Either party may terminate a service agreement:

  • By written notice

  • Subject to agreed notice period (if any)

Upon termination:

  • Outstanding dues become immediately payable.

  • Services already performed shall be billed accordingly.

12. Force Majeure

We shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:

  • Natural disasters

  • Government restrictions

  • Strikes

  • Internet or infrastructure failures

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time.

Continued use of our services constitutes acceptance of revised Terms.
